Marketplace End-User License Agreement (EULA)

When this EULA applies

This Marketplace EULA governs your use of any library, asset, or bundle you purchase from the SiteCAD Marketplace that is published under the MARKETPLACE-EULA license tag. You accept it at purchase by clicking through the buy confirmation dialog ("By purchasing, you accept the Marketplace EULA"). Free libraries and libraries published under a Creative Commons license follow their own terms instead.

1. License grant

Subject to your continued compliance with this EULA, the , and timely payment of the purchase price, the Seller grants the purchasing organization (the SiteCAD org that completed the purchase) a worldwide, non-exclusive, non-transferable, non-sublicensable license to use the purchased content internally for the org's own design, planning, modelling, and analysis work in SiteCAD.

"Internal use" means use by current members of the purchasing org, acting within the scope of their org membership, in SiteCAD scenarios owned by or shared with that org. Members who later leave the org lose access to the purchased content as a side effect of losing their org membership.

2. Permitted uses

  • Install the content into scenarios owned by the purchasing org.
  • Use the content as input to your own SiteCAD designs, including derivative geometry that is part of your scenario.
  • Export your own designs (including embedded snapshots of the purchased content) for client deliverables and construction submittals.
  • Share viewer links and published-site embeds that incorporate the purchased content with your own audience.

3. Prohibited uses

  • No redistribution. You may not republish, re-list, resell, sublicense, lend, rent, gift, mirror, or otherwise make the purchased content (or any substantial portion of it) available to anyone outside the purchasing org as a standalone item, library, dataset, or asset pack.
  • No publishing customizations. Where the Marketplace UI prevents publishing a customization derived from a MARKETPLACE-EULA upstream, you may not work around that prohibition by repackaging, restructuring, or schema-renaming the content for republication.
  • No sublicensing of components. You may not extract assets from the purchased content (entity templates, operations scripts, terrain layers, mesh files, parameter tables, etc.) and distribute them as a separate library, free or paid.
  • No reverse engineering for republication. You may inspect the content as part of using it in your own designs, but you may not reverse-engineer it for the purpose of producing a substantially similar competing library for distribution.
  • No removal of authorship credit or licence tags. You may not strip author metadata, licence identifiers, or attribution baked into the content.

4. Ownership

The Seller retains all intellectual property rights in the purchased content. This EULA is a license, not a sale of the underlying intellectual property. Designs that you build using the purchased content remain yours, subject to the redistribution restrictions above.

5. Org-membership boundary

The license follows the purchasing org, not any individual user. Practical consequences:

  • Any current member of the org may use the content; new members gain access on joining.
  • A user who leaves the org loses access to the content from their other orgs and from any personal scenarios after they leave.
  • If the org transfers ownership (for example, an acquisition), the license follows the org entity, not the previous owners.
  • If the org is dissolved, all licenses granted to that org terminate.

6. License termination on refund or dispute

The license granted under this EULA terminates automatically if:

  • The purchase is refunded (buyer-initiated within the 14-day window, admin/support refund, or chargeback won against the buyer);
  • You lose the dispute as the merchant of record on a chargeback;
  • SiteCAD or the Seller is required by court order or a valid takedown notice to revoke the content.

On termination, you must stop using the purchased content. You may retain existing scenarios that incorporated the content prior to termination for reference and archival purposes, but you may not publish, share, export, or further build on those scenarios in a way that depends on the terminated content. SiteCAD may disable the install path automatically; scenarios with embedded snapshots will continue to render until you next modify the affected entities.

7. Warranties and disclaimer

The purchased content is provided "as is" and "as available". To the fullest extent permitted by law, neither the Seller nor SiteCAD makes any warranty of merchantability, fitness for a particular purpose, non-infringement, completeness, accuracy, or regulatory compliance. Library content, like everything else on the SiteCAD platform, is a starting point for professional review — see the and in particular the compliance-responsibility section for the full framing. You remain responsible for verifying that anything you derive from the purchased content is correct, lawful, and fit for purpose in your jurisdiction.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER THE SELLER NOR DIGITHOUGHT LLC SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE PURCHASED CONTENT OR THIS EULA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE SELLER AND DIGITHOUGHT LLC UNDER THIS EULA EXCEED THE PURCHASE PRICE YOU PAID FOR THE CONTENT GIVING RISE TO THE CLAIM.

9. Refunds and disputes

You have a 14-day no-questions-asked refund window from purchase, requestable from the My Purchases panel. Outside the window, refunds are case-by-case (see the for the general refund framing). If you initiate a chargeback through your bank without first contacting support, SiteCAD may, in its sole discretion, refund the purchase and revoke the entitlement pre-decision to keep our card-network standing intact.

10. Governing law and disputes

This EULA is governed by the laws of the State of Utah, United States, without regard to conflict of law principles. The general dispute-resolution provisions of the (informal resolution, then binding arbitration) apply to disputes arising under this EULA between you and Digithought LLC. Disputes between you and the Seller about the content itself are between you and the Seller; SiteCAD may, in its discretion, mediate to preserve marketplace integrity.
