Marketplace Seller Terms

1. Who these terms apply to
"Seller", "you", and "your" mean the SiteCAD user who enables marketplace selling and the organization on whose behalf that user is acting. Selling on the Marketplace requires:
- A Pro (or higher) subscription on the selling organization;
- The acting user to be the organization's owner or admin;
- A fully verified Stripe Connect Express account (KYC complete, payouts enabled).
Until all three are in place, the Marketplace will reject paid listings and refuse to mint a Stripe AccountLink.
2. Platform fee and payment processing
SiteCAD retains a platform fee of 20% of every gross sale on the Marketplace. The remaining 80% is your seller share, paid to your Stripe Connect Express account on Stripe's standard payout schedule for your country.
Stripe additionally charges processing fees on the buyer's payment. Stripe deducts those processing fees from the gross before the 80/20 split is applied — they are a cost of payment processing, not a SiteCAD-charged fee. The buyer-facing price you set is the sticker price; tax (where Stripe Tax is enabled) is charged on top and is excluded from the 80/20 split.
3. Tax responsibility
Sales/use tax (and equivalents). Where Stripe Tax is enabled for the buyer's jurisdiction, Stripe calculates, collects, and remits sales tax on top of your sticker price. You do not need to track or remit those amounts.
Income tax and tax forms. You are responsible for reporting your seller income to the appropriate tax authorities and for paying any income, self-employment, business, VAT/GST, or similar taxes that arise from your sales. Stripe issues the relevant information returns (for example, 1099-K in the United States, or the equivalent in your country) directly to you and to the taxing authority where required.

4. Content warranty and ownership
By submitting content for sale on the Marketplace you represent and warrant that:
- You own all rights necessary to grant the Marketplace EULA (or the alternate license you select) to buyers and to SiteCAD;
- Your content does not infringe any third party's intellectual property, trade-secret, privacy, publicity, or contractual rights;
- Your content does not contain malware, credentials, secrets, personal data of others, or any other content prohibited by the ;
- The content you sell matches the description, screenshots, and metadata you provide — no bait-and-switch.
5. DMCA and takedown cooperation
SiteCAD honors takedown notices under the U.S. Digital Millennium Copyright Act and comparable international frameworks. Notices may be sent to legal@sitecad.com.
You agree to cooperate with any valid takedown notice we receive concerning your content, including by withdrawing the listing on request. SiteCAD may unilaterally remove any listing that we reasonably believe infringes a third party's rights, regardless of whether you have responded to the notice.
Paid listings receive priority handling — we aim to action a complete DMCA notice on a paid item within one business day.
6. Mandatory human review of paid listings
Every paid Marketplace listing passes through a mandatory human review in addition to the automated content moderation pipeline. We may delay, reject, or unpublish a paid listing at our discretion for quality, security, brand-safety, or legal-risk reasons, even when the automated pipeline returned a clean verdict.
We target a first-review response within one business day from submission. Re-review after edits may extend that window.
7. Refunds and reverse-transfer mechanics
Buyers receive a 14-day, no-questions-asked refund from the time of purchase. Outside that window, refunds are case-by-case and at our discretion (for example, content broken at point of sale, compliance issues, or duplicate purchase).
Refunds are processed via Stripe using reverse_transfer: true and refund_application_fee: true. The practical effect:
- The full purchase price (including SiteCAD's 20%) is returned to the buyer;
- The original transfer to your Stripe account is reversed — your seller share is clawed back;
- If your Stripe balance is insufficient to cover the reversal, Stripe creates a negative balance on your connected account that you must top up via the Stripe dashboard.
We forfeit our platform fee on refunded sales — the buyer is made whole, and we do not pass that loss on to you beyond returning your seller share.
8. Disputes and chargebacks
If a buyer disputes a charge through their bank or card network, Stripe holds the disputed funds and notifies us. We surface every dispute in the seller dashboard and in the ops portal.
- If the dispute is lost, Stripe deducts the disputed amount plus its own dispute fee from your Stripe balance. The entitlement is revoked from the buyer (same effect as a refund). You bear the Stripe dispute fee.
- If the dispute is won, the funds are released and no claw-back occurs.
- Pre-decision settlement. SiteCAD may choose, in its sole discretion, to settle a dispute pre-decision by issuing an admin refund — for example, to avoid a dispute-rate threshold on our acquirer account. We will tell you when we do this.
9. Brand and quality standards
We may remove, restrict, or unpublish any listing at any time, for any reason, including but not limited to:
- Quality issues (broken content, mislabelled metadata, misleading screenshots);
- Security concerns (suspicious operation scripts, attempted data exfiltration);
- Brand-safety concerns (offensive imagery, hate symbols, sexual content, content targeting minors);
- Trademark or other rights conflicts with third parties or with SiteCAD;
- Any other reason we reasonably consider material.
Removal for cause does not entitle you to compensation for forgone sales, but it does not, by itself, claw back payouts you have already received for sales prior to removal (subject to refund and dispute handling).
10. Pricing, fee changes, and notice
You set the buyer-facing price (in USD; international currency support will be added later). You may change your price at any time; the new price applies prospectively only.
We may change the 20% platform fee on at least 30 days' notice by email to the seller email on file and by an in-application notice on the seller dashboard. If you do not accept the new fee, you may withdraw your listings and disable your seller account during the notice period; sales made before the effective date use the prior fee.
11. Termination
You may stop selling at any time by unpublishing or deleting your listings; the seller account can be deactivated from the Stripe Express dashboard.
We may suspend or terminate your seller account for breach of these Seller Terms, the , or applicable law. On termination:
- Your active listings are unpublished;
- Buyer entitlements granted before termination remain valid (buyers keep what they bought);
- In-flight purchases continue to settle on Stripe's normal payout schedule, subject to refund and dispute handling;
- Any obligations that by their nature should survive (refund cooperation, indemnities, dispute handling, audit responses) continue to apply.
If SiteCAD itself ceases to operate the Marketplace, we will provide at least 30 days' notice and will continue to honor in-flight refund windows during that period.
12. Indemnification
You agree to indemnify and hold harmless Digithought LLC and its officers, directors, employees, and agents from any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from the content you sell on the Marketplace or from your breach of these Seller Terms.
13. Relationship to other agreements
These Seller Terms are in addition to, and not in place of, the , the , the Community Library Terms, and Stripe's own Connected Account Agreement and Service Terms that govern your Stripe Connect Express account. To the extent of any conflict on a marketplace-specific topic, these Seller Terms control between you and Digithought LLC; Stripe's terms control between you and Stripe.
